Sponsor Terms & Conditions

For partner stations, businesses, and brands donating prizes or sponsoring promotions.

1. Scope

These Sponsor Terms & Conditions ("Sponsor Terms") govern the relationship between Your Lucky Hub LLC ("Your Lucky Hub") and any business, station, brand, or other entity that supplies prizes, funds, products, services, or promotional support (each a "Sponsor") in connection with any promotion offered on the Your Lucky Hub Platform (each a "Promotion").

2. Sponsor Representations

Sponsor represents and warrants that:

  • It is duly organized and in good standing in its jurisdiction;
  • It has full authority to enter into these Sponsor Terms and supply the agreed prize(s) or services;
  • All prizes are new, genuine, lawful to award, and free of liens or encumbrances;
  • All marks, logos, images, and copy provided to Your Lucky Hub may be used as contemplated by these Sponsor Terms;
  • Sponsor's participation does not violate any applicable law or third-party right.

3. Prize Fulfillment

Sponsor shall deliver the agreed prize(s) to Your Lucky Hub or directly to the verified winner within the timeframe specified in the applicable Promotion's Official Rules. Sponsor bears all costs of prize production, packaging, and shipment unless otherwise agreed in writing.

4. Compliance

Sponsor shall comply with all applicable federal, state, and local laws and regulations governing sweepstakes, advertising, consumer protection, privacy, and CAN-SPAM. Sponsor acknowledges that all Promotions are structured as free-to-enter sweepstakes and that no payment or consideration may be required of entrants for any element of any Promotion.

5. Use of Marks

Each party grants the other a limited, non-exclusive, non-transferable, royalty-free license to use the other party's name, logo, and approved marketing materials solely for the purpose of operating and promoting the applicable Promotion. All goodwill arising from such use inures to the benefit of the mark owner.

6. Indemnification

Sponsor shall defend, indemnify, and hold harmless Your Lucky Hub, its officers, directors, employees, contractors, and affiliates from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) defective, recalled, or unsafe prizes; (b) Sponsor's breach of these Sponsor Terms or applicable law; (c) Sponsor's intellectual property; or (d) Sponsor's products or services.

7. Insurance

Sponsor shall maintain commercial general liability insurance with limits reasonably appropriate for the nature and value of the prizes supplied and shall furnish a certificate of insurance upon request.

8. Limitation of Liability

EXCEPT FOR INDEMNIFICATION OBLIGATIONS AND BREACHES OF CONFIDENTIALITY OR INTELLECTUAL PROPERTY, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. YOUR LUCKY HUB'S AGGREGATE LIABILITY UNDER ANY SPONSOR AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE FEES (IF ANY) PAID BY SPONSOR TO YOUR LUCKY HUB IN THE PRIOR 12 MONTHS OR (B) $1,000.

9. Revenue Share & Referrals

If Sponsor participates as a referral partner (e.g., via a unique QR code or affiliate link), revenue share rates, payment terms, attribution windows, and reporting cadence shall be set forth in a separate Partner Order or addendum. Revenue share is paid solely on net premium subscription revenue collected from referred users and contains no relationship to sweepstakes entries.

10. Term & Termination

These Sponsor Terms apply for the duration of each applicable Promotion. Either party may terminate a Promotion for cause upon material breach not cured within ten (10) days of written notice. Your Lucky Hub may terminate immediately if Sponsor's continued participation poses legal, regulatory, or reputational risk.

11. Confidentiality

Each party shall protect the other's non-public business and technical information with at least the same care it uses to protect its own confidential information and in no event less than reasonable care.

12. Independent Contractors

The parties are independent contractors. Nothing in these Sponsor Terms creates a partnership, joint venture, agency, or employment relationship.

13. Governing Law & Venue

These Sponsor Terms are governed by the laws of the State of Florida without regard to conflict-of-law principles. Venue for any non-arbitrable dispute shall be Miami-Dade County, Florida.

14. Entire Agreement

These Sponsor Terms, together with any executed Partner Order or Promotion-specific addendum, constitute the entire agreement between the parties on the subject matter and supersede all prior agreements and understandings.
